1. Introduction

Welcome to Dependable Tech Solutions ("DTS", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

3. Eligibility

You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that: (i) you are at least 18 years of age; (ii) you have the legal capacity to enter into these Terms; and (iii) you have not been previously suspended or removed from our Services.

If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" or "your" will refer to that entity.

4. Account Registration and Security

Some of our Services require you to create an account. When you register for an account, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for safeguarding your account credentials and for any activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable any user account at any time, including if we believe you have violated these Terms.

5. Service Description and Limitations

Dependable Tech Solutions provides managed IT services, network management, security services, cloud services, backup solutions, and other technology solutions as described on our website and in service agreements.

We strive to ensure that our Services are available 24/7. However, we do not guarantee that the Services will always be available or be uninterrupted, timely, secure, or error-free. We may suspend, withdraw, or restrict the availability of all or any part of our Services for business and operational reasons, including for maintenance, upgrades, or to address security concerns.

6. Fees and Payment

You agree to pay all fees specified in your service agreement or as otherwise specified when you use the Services. Unless otherwise stated, all fees are quoted in US Dollars.

We may change our fees at any time by posting the changes on our website or by notifying you directly. If you do not agree with the fee changes, you have the right to reject the changes by canceling your subscription or services before the changes take effect.

Payment terms are specified in your service agreement. Unless otherwise stated, invoices are due upon receipt. If you fail to pay any fees when due, we may suspend or terminate your access to the Services.

7. Service Level Agreements

For certain services, we may offer Service Level Agreements (SLAs) that define the expected level of service you will receive. These SLAs will be included in your service agreement or provided separately.

If we fail to meet the guaranteed service levels, you may be entitled to service credits as specified in the applicable SLA. Service credits are your sole and exclusive remedy for any failure by us to meet guaranteed service levels.

8. Your Responsibilities

You agree to:

  • Use the Services in compliance with all applicable laws and regulations;
  • Maintain the confidentiality of your account credentials;
  • Be responsible for all activities that occur under your account;
  • Provide accurate and complete information when registering and using the Services;
  • Promptly notify us of any unauthorized use of your account;
  • Obtain and maintain all equipment and services needed for access to and use of the Services;
  • Cooperate with our reasonable security investigations; and
  • Comply with all guidelines, policies, and instructions we provide regarding the Services.

9. Prohibited Uses

You agree not to:

  • Use the Services in any way that violates any applicable laws or regulations;
  • Use the Services for any illegal or unauthorized purpose;
  • Attempt to gain unauthorized access to our systems or interfere with any other user's access to the Services;
  • Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material;
  • Attempt to circumvent any security or access restrictions of the Services;
  • Use the Services to transmit or facilitate the transmission of unsolicited or unauthorized advertising, promotional materials, or any other form of spam;
  • Use the Services in a way that could damage, disable, overburden, or impair our systems;
  • Reverse engineer, decompile, or disassemble any software used in the Services; or
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.

10. Client Data and Privacy

We respect your privacy and are committed to protecting your personal information. Our Privacy Policy describes how we collect, use, and disclose information about you.

You retain all rights to your Client Data. You grant us a limited license to use, copy, store, and transmit Client Data to provide and improve the Services.

We will implement reasonable and appropriate measures to protect the security, confidentiality, and integrity of Client Data. You acknowledge that no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

11. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Dependable Tech Solutions, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in the Services, or any content, features, or functionality of the Services, other than the limited right to use the Services as set forth in these Terms.

12. Third-Party Services and Content

The Services may contain links to third-party websites, services, or content that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

13. Indemnification

You agree to indemnify, defend, and hold harmless Dependable Tech Solutions, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DEPENDABLE TECH SOLUTIONS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

15. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DEPENDABLE TECH SOLUTIONS DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

16. Term and Termination

These Terms will remain in full force and effect while you use the Services. We may terminate your access to the Services, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account.

If you wish to terminate your account, you may do so by following the instructions on our website or by contacting us. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Florida, United States, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

18. Dispute Resolution

Before filing a claim against Dependable Tech Solutions, you agree to attempt to resolve the dispute informally by contacting us. If a dispute is not resolved within 30 days of submission, you may proceed with filing a formal claim.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

19. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

20. Entire Agreement

These Terms, our Privacy Policy, and any service agreements constitute the sole and entire agreement between you and Dependable Tech Solutions regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

21. Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
